This page (together with the documents it refers to) sets out the terms of use under which you may use the website www.digotech.vn, whether as a visitor or a registered user.

Please read these terms of use before you start using this website. By using our website, you confirm that you accept these terms of use and agree to comply with them. If you do not agree with these terms of use, please stop using our website.

Part 1: About Digotech

Digotech Software Company Limited provides complete website design solutions for shops and businesses online. We operate the website www.digotech.vn and are registered under the laws of Vietnam, enterprise registration number 0110144741, issued by the Hanoi Department of Planning and Investment on 10 October 2022.

Part 2: General conditions

To access and register for the service you want, you must provide your full name, phone number and a correct email address. This lets you receive the full support we offer our users.
The person who registers for the service is considered the account owner and is bound by all of the terms of service.
Digotech will use your email address as the main means of communication between us.
Digotech’s services are not an e-commerce marketplace. Any transaction made through the website we build for you is a direct transaction between you and your buyer.
You must not introduce any virus or code that affects other people or the website system you have had designed.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any part of the Service, the use of the Service or access to the Service without our express written permission.
You must not buy search engine or other pay-per-click keywords (such as Google Ads), trademarks or domain names that use the Digotech trademark and/or variations or misspellings of it.
We have the right to end the operation of your website and all products created in your account on our own decision if any breach of the terms of service is found.

Part 3: How the service is provided

Receiving information: we meet the client in person or online and ask for the sitemap, main colour tone, logo, any special features, or a sample website the client would like something similar to. We advise and propose a price that fits the client’s budget.
Signing the contract: we agree on the plan with the client, both sides sign the contract, and the client pays the deposit set out in the contract.
Demo design: we first sketch the design the client asked for, then design and build it according to the agreed requirements. Images and text in the demo are chosen to suit the client’s industry.
Publishing the demo: when the demo website is complete, we send a link so the client can try the features on the site. The client may ask for small changes (if any).
Handover and warranty: we put the website online after fixing all of the client’s requests. At this stage we show the client how to manage the website and hand over the admin account and source code (if the client asks for it). Websites designed by DIGOTECH come with up to 24 months of warranty and maintenance.

Part 4: Prices and fees

Service prices are shown in the price list of each service and confirmed in your quote and contract.
You can pay Digotech in cash or by transfer to our bank account shown in the payment guide. After payment, we will contact you directly to confirm.
If you are not in Vietnam, you must comply with the laws and taxes of your region or country.
We may change our fees at any time by publishing a new price list on our website, without prior notice.

Part 5: Responsibilities of the client and the service provider

1. Responsibilities of the client

You are responsible for keeping your own password secure after the website admin account is handed over. Digotech cannot and will not be liable for any damage or loss resulting from your failure to keep your password secure.
You pay the correct amount for the website as quoted by us.
You are responsible for all data, images, reports and links that you put into your website admin account.
You comply with the laws of Vietnam on publishing information about products and services. Selling products or services not permitted by the State of Vietnam is strictly prohibited.

2. Responsibilities of the service provider

We have the right to change or stop the Service for any reason, without prior notice, at any time.
We have the right to refuse service to anyone for any reason at any time.
We may remove content or any website that contains content that is unlawful, fraudulent, illegal, offensive, defamatory, threatening, pornographic or that deliberately infringes intellectual property.
We may delete any account whose holder insults or threatens, verbally or in writing, Digotech’s clients, Digotech’s staff or the Digotech company.
We do not review in advance the content you publish on your website for your users; you are fully responsible for that content.
Digotech may amend these Terms of Use at any time by publishing the amended Terms of Use on the Digotech website. The amendments take effect from the date they are published. Continuing to use the Service after the amended Terms of Use are published means you agree to and accept them. If you do not agree with any change to the Terms of Use, stop using the Service.

Part 6: Prohibited content

You may use the website only for lawful purposes. You may not use our website:

In any way that breaches any applicable local, national or international law or regulation.
In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
To harm or attempt to harm minors in any way.
To send, receive, upload, download, use or re-use any material that does not comply with our standards.
To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of solicitation.
To transmit any data, or send or upload any material, that contains viruses, Trojan horses, worms, time bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any software or hardware.

You also agree:

Not to copy, share or resell any part of our website in breach of these terms of use.
Not to access without authority, interfere with, damage or disrupt any part of the website, any equipment or network on which the website is stored, any software used in providing the website, or any equipment, network or software owned or used by any third party.

Part 7: Intellectual property rights

We are the owner or the licensee of all intellectual property rights in this website and in the material published on it, including but not limited to the DIGOTECH name and logo. These works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print one copy, and may download extracts, of any page of our website for your personal reference, and you may draw the attention of others within your organisation to material published on our website.

You must not modify the paper or digital copies of any material you have printed or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of material on our website must always be acknowledged.

You must not use any part of the material on our website for commercial purposes without obtaining permission from us or our licensors.

If you print off, copy or download any part of our website in breach of these terms of use, your right to use our website will end immediately and you must return or destroy any copies of the material you have made.

Part 8: Viruses, hacking and other offences

You must not misuse our website by knowingly introducing viruses, Trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our website, the server on which our website is stored, or any server, computer or database connected to our website. You must not attack our website via a denial-of-service attack or a distributed denial-of-service attack.

By breaching this provision, you would break the law of Vietnam. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our website will end immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our website or to your downloading of any material posted on it, or on any website linked to it.

Part 9: Linking to our website

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

You must not establish a link from any website that is not owned by you.

Our website must not be framed on any other website, nor may you create a link to any part of our website other than the home page. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out above.

Part 10: Suspension and termination

We will decide, at our discretion, whether there has been a breach of these terms of use. When a breach of these terms of use has occurred, we may take such action as we deem appropriate.

Failure to comply with these terms of use may result in our taking all or any of the following actions:

Immediate, temporary or permanent withdrawal of your right to use our website.
Immediate, temporary or permanent removal of any post or material uploaded by you to our website.
Legal proceedings against you to reimburse all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
Disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

We exclude liability for actions taken in response to breaches of these terms of use. The responses described in these terms of use are not limited, and we may take any other action we reasonably deem appropriate.

Part 11: Jurisdiction and applicable law

The courts of Vietnam will have exclusive jurisdiction over any claim arising from, or related to, a visit to our website, although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.

These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted in accordance with the law of Vietnam.
